Terms of Service

1. Acceptance of Terms

By accessing or using the Voyant AI platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Voyant AI, Inc. ("Voyant AI," "we," "us," or "our").

2. Description of Services

Voyant AI provides an enterprise AI adoption platform that includes readiness assessments, training modules, deployment tools, and related services designed to help organizations successfully implement and adopt artificial intelligence technologies. Our Services may include, but are not limited to:

• AI readiness assessments and scoring
• Role-based training and enablement programs
• Pilot program development and management tools
• Deployment playbooks and implementation guides
• Progress tracking and analytics dashboards
• Integration and governance frameworks
• Consulting and advisory services

3. Account Registration and Security

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Payment Terms

Certain Services require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described in your subscription agreement. Fees are billed in advance on a monthly basis and are non-refundable except as expressly provided in these Terms. We reserve the right to modify our pricing with 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Services or any related systems
• Interfere with or disrupt the integrity or performance of the Services
• Transmit any viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble any portion of the Services
• Use the Services to develop a competing product or service
• Share your account credentials with unauthorized third parties
• Misrepresent your identity or affiliation with any person or entity

6. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Voyant AI or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only.

7. Customer Data and Confidentiality

You retain all ownership rights to any data, content, or materials you submit to the Services ("Customer Data"). You grant Voyant AI a limited license to use, process, and store Customer Data solely for the purpose of providing the Services to you. We will maintain the confidentiality of your Customer Data and will not disclose it to third parties except as required by law or as necessary to provide the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VOYANT AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VOYANT AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO VOYANT AI DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Voyant AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit to the Services.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Services after the effective date constitutes your acceptance of the modified Terms.
